PROPOSED JOINT CONSOLIDATION AGREEMENT TO CREATE THE CONSOLIDATED FAIRWAYS LIGHTING DISTRICT

Proposed Joint Consolidation Agreement TO CREATE THE CONSOLIDATED FAIRWAYS LIGHTING DISTRICT BY CONSOLIDATING The CHAMPIONSHIP DRIVE/CHALLENGER WAY “FAIRWAYS PHASE 1” LIGHTING DISTRICT AND THE FAIRWAYS PHASE 2 LIGHTING DISTRICT

The Victor Town Board, acting jointly as the governing body of the Championship Drive / Challenger Way “Fairways Phase 1” Lighting District, as well as the governing body of the proposed Fairways Phase 2 Lighting District (the details of which are available at the Town Clerk’s Office in the “Map, Plan and Report” for the “Fairways Phase 2 Lighting District Extension . . .”, dated May, 2017 and stamped by Bryan G. Powers), sets forth the following terms which constitute the Proposed Joint Consolidation Agreement to Create the Consolidated Fairways Lighting District by Consolidating the Championship Drive / Challenger Way “Fairways Phase 1” Lighting District and the Fairways Phase 2 Lighting District, as required by Town Law Article 17-A:

Name of Each Entity to Be Consolidated

The Championship Drive / Challenger Way “Fairways Phase 1” Lighting District and the Fairways Phase 2 Lighting District (as proposed and described in the Map, Plan and Report referred to herein) will be consolidated.

Name of the Proposed Consolidated Entity

The Fairways Phase 2 Lighting District will be combined with the Championship Drive / Challenger Way “Fairways Phase 1” Lighting District, and the name of the proposed consolidated entity will become the “Consolidated Fairways Lighting District” (the post-consolidation “Consolidated Fairways Lighting District” is referred to herein as the “Consolidated Entity”).

Rights, Duties and Obligations of the Proposed Consolidated Entity

The rights, duties and obligations of the proposed Consolidated Entity will be the same as those for the Championship Drive / Challenger Way “Fairways Phase 1” Lighting District, except that those rights, duties and obligations will now also apply to a larger area which is to include the area of the Fairways Phase 2 Lighting District, and such area will include more light fixtures.  

Boundaries of the Consolidated Entity

The boundaries of the Consolidated Entity shall be the same as the current boundaries of the Championship Drive / Challenger Way “Fairways Phase 1” Lighting District, except as expanded by the addition of the Fairways Phase 2 Lighting District. The boundaries of the Fairways Phase 2 Lighting District will include those parcels comprising Phase 2 of the Fairways residential development, located from 608 Championship Drive to 665 Championship Drive, in the Town of Victor, the metes and bounds description of which is set forth in the Map, Plan and Report referred to herein and available for public inspection at the Victor Town Clerk’s Office.

Type of the Consolidated Entity

The Consolidated Entity will be Town Lighting District.

Fiscal Estimate of the Cost and Savings Which May be Realized

The consolidation of the two entities will eliminate the annual need for additional expenses in the administrative oversight of multiple lighting districts. There will be no additional costs.

Each Entity’s Assets

The Championship Drive / Challenger Way “Fairways Phase 1” Lighting District’s assets are comprised of the following:

Infrastructure – All infrastructure, including conduit and 18 light pole structures along Championship Drive and Challenger Way.   The total value of these assets approximates the cost to construct them at current wage and materials rates. Note that though these lights are operated within the District, they are owned, operated and maintained by Rochester Gas and Electric (“RGE”).

The Fairways Phase 2 Lighting District’s assets are comprised of the following:

Infrastructure, including conduit and 7 light pole structures along Championship Drive.  Note that though these lights are operated within the District, they are owned, operated and maintained by Rochester Gas and Electric.

Each Entity’s Liabilities

Neither entity has any debt. The operation and maintenance cost for the lighting described herein will be paid for via a monthly payment to RGE.

Terms for the Disposition of Existing Assets, Debt and Liabilities

No entity has any debt. The assets and agreements associated with each entity will transfer into the “Consolidated Fairways Lighting District.”

Administration of Laws

The New York State Law regarding Lighting Districts will be applied against the Consolidated Entity as a single Town of Victor Lighting District (which will be comprised wholly of the former Championship Drive / Challenger Way “Fairways Phase 1” Lighting District’ and the Fairways Phase 2 Lighting District).

Effective Date

This consolidation shall be effective immediately upon both the completion of the procedures for establishing the Fairways Phase 2 Lighting District and completion of the procedures for effecting this consolidation.

This Agreement shall not become effective if the Fairways Phase 2 Lighting District is not fully established as according to NY Town Law. In the event the Fairways Phase 2 Lighting District is not fully and duly established, this agreement shall become null and void and the proceedings associated herewith shall be ceased.

Time and Place for Public Hearing

Pursuant to Article 17-A of the Town Law, the Town Board of the Town of Victor, shall meet at the Town Hall, 85 East Main Street, Victor, New York, on August 14, 2017, at 7:30 p.m. for the purpose of conducting a public hearing on the proposal to consolidate as set forth herein.
